Terms of Service

By accessing, registering for, or using any service offered by Gamer Regnum SRL under the Spot Master brand, you ("User") acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.

If you act on behalf of a legal entity, you represent that you have the legal authority to bind that entity to these terms. If you do not agree with any condition herein, you must refrain from using the services.

Spot Master is the world's first hybrid game ecosystem, combining a physical board game, a digital application, and a real rewards system. The Platform comprises:

• Physical Board Game: Tangible product distributed globally, subject to its own sales and warranty conditions.
• Digital App (app.spotmaster.fun): Online platform allowing players to participate in games, accumulate PV points, redeem rewards, and access VIP features.
• SMDT Token (Spot Master Digital Token): Utility token built on the Solana network, granting holders dividend participation, governance, and ecosystem benefits.
• Investor Portal (investors.spotmaster.fun): Information and participation platform for accredited investors.
• Pool VIP: Monthly revenue distribution program for holders of 100 or more SMDT tokens.

To participate as an investor in the SMDT ecosystem, the User must meet the following requirements:

• Be at least 18 years of age or the applicable age of majority in their jurisdiction, whichever is greater.
• Not reside in or be a citizen of any country or territory sanctioned by OFAC, the United Nations, or the European Union.
• Not be considered a Politically Exposed Person (PEP) without completing enhanced due diligence.
• Provide truthful, complete, and updated information during registration and KYC verification.
• Have the legal capacity to enter into binding contracts in their jurisdiction of residence.

SMDT tokens are digital utility instruments operating on the Solana blockchain. Their acquisition grants the following rights within the ecosystem:

• Quarterly dividends: Proportional participation in 10% of distributable ecosystem revenues, paid in USDC.
• Pool VIP: Holders of 100 or more tokens access 5% of monthly ecosystem revenues. Every 100 tokens = 1 participation unit out of 150 total units.
• Governance: Holders of 500 or more tokens obtain voting rights on strategic ecosystem decisions.
• In-game benefits: Access to founder's special board, exclusive in-game advantages, and early access to new features.

The total SMDT supply is permanently fixed at 50,000 tokens. No additional tokens will ever be created. This restriction is enforced at the smart contract level on the Solana network.

Ecosystem revenue distribution is structured as follows:

• 50% — Active players (redeemable PV rewards)
• 5% — Pool VIP (holders of 100+ SMDT tokens, monthly distribution)
• 5% — Regional leaders
• 30% — Gamer Regnum SRL (operations and development)
• 10% — Sponsors and referral program

Quarterly dividends for token holders are calculated based on the percentage of participation corresponding to the number of tokens held relative to the total circulating supply. Payments are made in USDC directly to the Solana wallet registered by the holder.

Spot Master operates a referral program whereby both the referrer and the referred party receive a 10% bonus in tokens on the amount invested by the new participant, subject to the following conditions:

• Referral bonuses are distributed only after the conclusion of the public sale, to ensure accuracy in token allocation.
• There is no limit on the number of referrals a user can make.
• The referred User must successfully complete their investment and KYC process to activate the bonus.
• Self-referral or creation of multiple accounts to obtain fraudulent bonuses is strictly prohibited.
• Gamer Regnum SRL reserves the right to audit and void referrals it considers fraudulent or in violation of the program's spirit.

The User agrees to use the Platform lawfully and to refrain from the following prohibited conduct:

• Providing false, misleading, or fraudulent information during registration or any verification process.
• Using the Platform for money laundering, terrorism financing, tax evasion, or any illicit activity.
• Attempting to hack, interfere with, or compromise the security of the Platform, SMDT smart contract, or any associated wallet.
• Creating multiple accounts or using them in a coordinated fashion to manipulate the referral system, governance, or distributions.
• Spreading false information about Spot Master, its financial projections, or the SMDT token with the purpose of manipulating investment decisions.
• Infringing the intellectual property rights of Gamer Regnum SRL or third parties.

All intellectual property rights related to Spot Master are the exclusive property of Gamer Regnum SRL, including without limitation:

• The "Spot Master" trademark and associated logos, registered in the United States and Dominican Republic.
• The board game design, rulebook, and physical components.
• The source code of the mobile application and investor portal.
• The SMDT smart contract deployed on Solana.
• All content, graphic designs, texts, and audiovisual materials on the Platform.

IP registration is active in the United States and Dominican Republic, with processes underway in China, Mexico, EU, Japan, South Korea, Turkey, Egypt, and key African nations.

To the maximum extent permitted by applicable law, Gamer Regnum SRL shall not be liable for:

• Losses arising from fluctuations in the value of SMDT tokens or digital assets in general.
• Interruptions, errors, or failures in the Solana network, third-party services, or internet infrastructure.
• Unauthorized access to user accounts resulting from user negligence (weak passwords, phishing, etc.).
• Loss of access to Solana wallets or loss of private keys.
• Regulatory changes in any jurisdiction affecting the use or value of SMDT tokens.
• Indirect, special, incidental, punitive, or consequential damages of any nature.

Gamer Regnum SRL's total liability to any individual user shall not, in any case, exceed the amount actually paid by that user for SMDT tokens during the 12 months prior to the event giving rise to the claim.

Gamer Regnum SRL reserves the right to modify these Terms of Service at any time. Modifications will take effect 15 calendar days after publication on the Platform, unless the nature of the changes requires immediate application for legal or security reasons.

Registered users will be notified via email and/or in-platform notification. Continued use of the services after the notification period constitutes acceptance of the modified terms.

Gamer Regnum SRL may suspend or cancel any user's access to the Platform, with or without prior notice, in the following circumstances:

• Breach of these Terms of Service or any associated policy.
• Reasonable suspicion of fraudulent or illicit activity that endangers the integrity of the ecosystem.
• Request by competent authorities in the context of legal investigations.
• Force majeure preventing continuation of service.

Upon termination, already-acquired SMDT tokens remain in the holder's wallet and will not be confiscated, except by court order or regulatory resolution. Accumulated dividends pending distribution will be settled within 30 days following termination.

These Terms are governed and construed in accordance with the laws of the Dominican Republic, without regard to conflict of law provisions.

Any dispute, controversy, or claim arising from or relating to these Terms shall be resolved through the following process:

1. Direct negotiation: Parties will attempt to resolve the dispute amicably within 30 days.
2. Mediation: If direct negotiation fails, parties will attend mediation before a recognized mediation center in the Dominican Republic.
3. Arbitration: Unresolved disputes will be submitted to binding arbitration under the rules of the Center for Alternative Dispute Resolution (CRAC) of the Dominican Republic.

The language of proceedings shall be Spanish. The place of arbitration shall be Santo Domingo, Dominican Republic.

If any provision of these Terms is declared invalid or unenforceable by a competent court, that provision will be modified to the minimum extent necessary to make it valid and enforceable, while the remainder of the document remains in full force.

Gamer Regnum SRL's failure to enforce any right or provision of these Terms in a particular instance shall not constitute a general waiver of such right or provision.

These Terms constitute the complete agreement between the User and Gamer Regnum SRL with respect to the subject matter herein, and supersede any prior or contemporaneous agreements.
